By engaging our services, subscribing to Technical Office Hours, or using our website at worktechsolutions.com, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our services.

Work Tech Solutions provides the following services:
Consulting Services
- Business software administration, configuration, optimization, and implementation
- Business system integrations
- Process automation and workflow optimization
- System migrations and data transfers
- Custom software configuration
- Technical troubleshooting and support
- User training and documentation
Technical Office Hours Subscription
- Two 30-minute expert consultation sessions per month
- Session recordings upon request
- Access to resources and documentation
- No long-term commitment (cancel anytime)
Other Packaged Services
- Integration monitoring and maintenance
- Quarterly business reviews
- Emergency integration rescue services
- And other services as described on our website or in proposals
Acceptance of Terms
By engaging our services, you:
- Confirm you have the authority to enter into this agreement
- Agree to provide accurate and complete information
- Accept responsibility for all activities under your account
- Agree to comply with all applicable laws and regulations
Service Engagement
Consulting Projects
Proposals and Statements of Work:
- Services are provided based on proposals, statements of work, or project agreements
- Scope, deliverables, timeline, and pricing are defined in writing before work begins
- Changes to scope require written agreement from both parties
Technical Office Hours Subscription
Subscription Terms:
- Subscription is billed monthly at $299/month
- Includes two 30-minute sessions per month
- Sessions do not roll over to the next month
- Additional sessions available at $150 per 30-minute session
Booking and Scheduling:
- Sessions must be booked at least 24 hours in advance via our scheduling platform
- You may reschedule sessions up to 24 hours before the scheduled time
- No-shows without 24-hour notice forfeit that session
Cancellation:
- Cancel your subscription anytime with no penalty
- Cancellation takes effect at the end of your current billing period
- No refunds for partial months or unused sessions
Payment Terms
General Payment Terms
- Payment is due as specified in your proposal, invoice, or subscription agreement
- We accept payment via credit card, ACH, or other agreed-upon methods
- All fees are in U.S. Dollars (USD)
Consulting Projects
- Payment schedules vary by project (e.g., 50% upfront, 50% upon completion; weekly/bi-weekly billing)
- Invoices are due within 10 days of issue unless otherwise agreed
- Late payments may incur a 1.5% monthly interest charge
- Work may be paused for accounts more than 30 days past due
Technical Office Hours Subscription
- Billed monthly on your subscription start date
- Automatic recurring billing via Stripe
- Failed payments result in subscription suspension until payment is resolved
- You are responsible for maintaining valid payment information
Taxes
- Prices do not include applicable sales tax, VAT, or other taxes
- You are responsible for any taxes related to your purchase
Refund and Cancellation Policy
Consulting Projects
- Refunds are evaluated on a case-by-case basis
- Work completed and billed is generally non-refundable
- If you are unsatisfied with our work, contact us to discuss resolution
Technical Office Hours Subscription
- No refunds for partial months or unused sessions

- You retain access to services through the end of your paid period
Client Responsibilities
To ensure successful engagement, you agree to:
Provide Access:
- Grant necessary access to systems, platforms, and data
- Provide credentials, permissions, and documentation as needed
- Facilitate introductions to key stakeholders
Timely Communication:
- Respond to requests for information within reasonable timeframes
- Attend scheduled meetings and calls
- Provide feedback on deliverables promptly
Accurate Information:
- Provide accurate and complete information about your systems and requirements
- Notify us immediately of any changes that may impact our work
Compliance:
- Ensure your use of our services complies with applicable laws and platform terms of service
- Maintain appropriate licenses for software and platforms we configure on your behalf
Our Responsibilities
Work Tech Solutions commits to:
- Provide services with reasonable skill and care
- Deliver work as outlined in proposals and agreements
- Communicate proactively about project status and any issues
- Protect your confidential information
- Respond to Technical Office Hours support requests within 24 business hours
Scope and Limitations
What We Do
- Configure and optimize business systems
- Provide expert guidance and recommendations
- Build automations, integrations, and workflows
- Troubleshoot technical issues
What We Don't Do
- Write custom code or extensive software development (unless specifically agreed in writing)
- Provide 24/7 emergency support (unless part of a specific service agreement)
- Guarantee specific business outcomes or ROI
- Take responsibility for decisions made by your team based on our recommendations
Best Efforts
While we strive for excellence, we provide services on a "best efforts" basis. We do not guarantee that our services will be error-free or that all issues will be resolved immediately.
Intellectual Property
Your Property
- You retain ownership of your data, content, and existing intellectual property
- We will not use your confidential information beyond the scope of our engagement
Our Property
- Work Tech Solutions retains ownership of our methodologies, frameworks, templates, and pre-existing intellectual property
- We retain the right to use generalized learnings and insights from projects (without revealing confidential information)
Work Product
- Deliverables created specifically for you (configurations, automations, documentation) become your property upon full payment
- We may retain copies for our records and reference
Third-Party Tools
- You are responsible for obtaining necessary licenses for third-party software
- We do not provide software licenses unless explicitly stated in our agreement
Confidentiality
We protect your information:
- We will not disclose your confidential business information to third parties without your consent
- We implement reasonable security measures to protect your data
- We may use aggregated, anonymized data for research and improvement purposes
Exceptions:
- Information that becomes public through no fault of ours
- Information we are legally required to disclose
- Information necessary to provide services (e.g., shared with approved subcontractors)
Case Studies and Testimonials:
- We will not use your name, logo, or project details in case studies without your written permission

Your Responsibility:

Limitation of Liability

- Indirect, incidental, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages resulting from your misuse of our services
- Issues caused by third-party platforms, software, or services
- Decisions made by your team based on our recommendations
Maximum Liability:
Our total liability for any claim related to our services is limited to the amount you paid us in the 12 months preceding the claim, or $5,000, whichever is less.
Exceptions:
This limitation does not apply to:
- Damages caused by our willful misconduct or gross negligence
- Violations of confidentiality obligations
- Any liability that cannot be excluded by law
Warranties and Disclaimers
Limited Warranty:
We warrant that our services will be performed with reasonable skill and care consistent with industry standards.
Disclaimer of Other Warranties:
Except as expressly stated, our services are provided "as is" without warranties of any kind, express or implied, including:
- Warranties of merchantability or fitness for a particular purpose
- Warranties that services will be uninterrupted or error-free
- Warranties of specific results or outcomes
Third-Party Platforms:
We do not warrant the performance, availability, or security of third-party platforms. Issues with third-party platforms are outside our control.
Service Modifications and Availability
Right to Modify:
- We may update our services, pricing, and terms with reasonable notice
- Material changes to subscription services will be communicated at least 30 days in advance
- Continued use after changes constitutes acceptance
Service Availability:
- We strive for consistent availability but do not guarantee 24/7 access
- Scheduled maintenance will be communicated in advance when possible
- Technical Office Hours sessions are subject to our availability and scheduling
Discontinuation:
We reserve the right to discontinue services with reasonable notice (generally 60 days for subscription services).
Termination
By You
- Consulting Projects: Termination terms are specified in your project agreement
- Technical Office Hours: Cancel anytime; cancellation effective at end of billing cycle
By Us
We may terminate or suspend services if:
- You breach these Terms or your service agreement
- Payment is more than 30 days overdue
- You engage in abusive, threatening, or illegal behavior
- You misuse our services or violate platform terms of service
Effect of Termination
- You remain responsible for payment for services rendered
- We will provide reasonable assistance with transition or data export (fees may apply)
- Confidentiality obligations survive termination
Dispute Resolution
Informal Resolution:
If you have a concern, please contact us at ethan@worktechsolutions.com. We will work in good faith to resolve disputes informally.
Mediation:
If informal resolution fails, we agree to attempt mediation before pursuing legal action.
Governing Law:
These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles.
Jurisdiction:
Any legal action must be brought in the state or federal courts located in Colorado.
Miscellaneous
Entire Agreement:
These Terms, together with any proposals, statements of work, or service agreements, constitute the entire agreement between you and Work Tech Solutions.
Severability:
If any provision is found unenforceable, the remaining provisions remain in effect.
No Waiver:
Our failure to enforce any provision does not waive our right to enforce it later.
Assignment:
You may not assign your rights or obligations without our written consent. We may assign our rights and obligations with notice to you.
Force Majeure:
We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, pandemics, internet outages, etc.).
Independent Contractor:
Work Tech Solutions is an independent contractor, not an employee or agent of your company.
